Andion CH4 Renewables SAS (“Andion CH4”) has signed a binding agreement, subject to customary closing conditions, to acquire 100% of the share capital of the Cella Dati biomethane plant from IREN and SAR.

The plant, located in the Province of Cremona in Northern Italy, currently has an installed capacity of approximately 45 GWh, with a planned expansion to 56 GWh. It is one of the first biomethane facility in Italy directly connected to the national gas grid fuelled by agricultural organic waste.

The acquisition further expands Andion’s portfolio of renewable energy infrastructure assets across Europe. The project converts organic waste streams into dispatchable, low-carbon energy, supporting national decarbonisation targets while strengthening local energy security.

Owned and operated by Andion, the plant will apply proven anaerobic digestion technology process to transform agricultural residues into high-quality renewable biomethane, compliant to the Italian Biomethane Decree DL 2022. By capturing methane that would otherwise be released into the atmosphere and displacing fossil fuel alternatives, the facility is expected to deliver significant, measurable greenhouse gas reductions across its lifecycle.

ESG principles are embedded across the full lifecycle, from initial design to long-term operation. The project will also prioritise environmental performance, safe and efficient plant management, and transparent reporting, while working closely with local stakeholders, suppliers, and farming communities to generate long-term regional benefits.

This new facility represents another step in Andion’s strategy to quickly scale up a platform of high-quality biomethane assets across attractive European markets and to build long-term renewable energy infrastructure that contributes to a low-carbon, resource-efficient energy system.
